Terms of Service
These Terms of Service govern your access to and use of Rounday's fundraising advisory services. By engaging with Rounday, you agree to these terms.
1. Services
Rounday provides strategic fundraising advisory services to founders and companies seeking institutional capital. Services include fundraising strategy, investor targeting, pitch deck optimization, narrative development, and deal support. The specific scope of services is defined in a separate engagement agreement executed between the client and Rounday.
2. Engagement
All engagements require a signed agreement and, where applicable, payment of fees as outlined in that agreement. Rounday does not guarantee funding outcomes — we improve your probability of closing a round on favorable terms through structured preparation and process management.
3. Confidentiality
All information shared by the client during the engagement is treated as strictly confidential. Rounday will not disclose proprietary business information, financial data, or strategic plans to third parties without explicit written consent, except where required by law.
4. No Investment Advice
Rounday is not a licensed broker-dealer, investment advisor, or law firm. Our advice is strategic and operational in nature. Clients should seek independent legal, tax, and financial counsel before executing transaction documents.
5. Limitation of Liability
Rounday's total liability arising out of or relating to any engagement shall be limited to the fees paid by the client for the specific service giving rise to the claim. Rounday is not liable for any indirect, incidental, or consequential damages.
6. Termination
Either party may terminate the engagement in accordance with the termination provisions set forth in the specific engagement agreement. Upon termination, the client remains responsible for payment of all fees accrued up to the termination date.
7. Governing Law
These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
8. Changes to Terms
Rounday may update these Terms from time to time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the revised Terms.
